General Corporate Practice:
The firm offers
comprehensive legal services to corporate bodies. We advise on compliance
with the provisions of the Companies and Allied Matters Act and other
relevant laws. We also ensure that all statutory applications are submitted
on time and approvals are duly obtained. Our firm has in the recent past
acted as Solicitors to issuing houses on the public issue of shares. We
have also consistently advised our clients on mergers and acquisition of
companies and the best legal approach to take-overs. Presently, we are
advising some clients on the acquisition of some local enterprises. Our
firm also acts as consultants to multinational companies seeking to
increase their investment portfolios in Nigeria. We give legal opinions on
various corporate issues and advise on current changes in laws as they may
affect their operations.
Privatisation & Commercialisation:
We have developed a
major practice in the area of privatisation. Since the first phase of the
privatisation programme, Giwa-Osagie & Co has been involved in the
privatisation process as Consultants to state governments, local and
international companies. We have been active in advising on foreign
investments in Nigeria. As the Nigerian Government's programme of
privatisation gains momentum, we are well placed to advise our local and international
clients. We were actively involved in privatisation of one of the largest
companies in Nigeria and our Principal Partner was invited to write an
article on the current Privatisation programme in Nigeria which was
published in the 2000/2001 edition of International Privatisation Review
by Euromoney publication.
Banking Law:
We offer comprehensive
services to legal departments of banks in Nigeria and also to foreign
companies with a desire to engage in legal transactions in Nigeria. This
covers the preparation of bank security documents to enable their customers
obtain credit facilities. We also perfect documents that may have been
prepared by the banks in-house. The documents include legal mortgages,
debenture trust deeds, all assets debenture and leases. We advise on
off-shore loans and collaterals. We obtain State or Federal Government
consent for security documentation and file charges at the Land’s Registry
as well as the Corporate Affairs Commission, Abuja. We have prepared various
safe-custody agreements on behalf of clients and their customers, which are
mainly banks and financial institutions in Europe, South Africa and the
USA.
We provide comprehensive advice on all domestic and international banking
operations which include lendings on the securities of all forms of
assets.
We are also versed in loan syndicate transactions and we offer routine
advice to our clients on compliance with banking and regulatory
legislations.
